Website Terms of Use

1. Operator and acceptance

This website is operated by Venue Form Pty Ltd as trustee for the Venue Form Unit Trust (ABN 95 698 680 921), trading as Technical Alliance (Technical Alliance, we, us or our).

By using the website, you agree to these Terms of Use. If you do not agree, do not use the website. These terms apply only to the website and do not replace the terms of any quotation, proposal, project, supply, integration or support agreement.

2. Website purpose

The website provides general information about Technical Alliance’s audiovisual and ICT consulting, design, integration and support capabilities. It is intended mainly for businesses, government, education, hospitality, venues, consultants and other institutional users in Western Australia.

The website does not provide ecommerce, online payment, user accounts or a facility to enter into a project contract.

3. No project agreement or professional advice

Website content is general information only. It is not:

  • an offer capable of acceptance;
  • a quotation, specification, design, engineering certification or project instruction;
  • legal, financial, safety, compliance or other professional advice; or
  • a substitute for site investigation, consultation, testing or a written scope of work.

An enquiry does not oblige either party to proceed. Work begins only under an authorised written agreement or other written acceptance that identifies the relevant entity, scope, price and applicable terms. If website content conflicts with a signed project or support agreement, the signed agreement prevails to the extent permitted by law.

4. Accuracy and reliance

We take reasonable care with website content, but technologies, standards, availability, pricing, insurance and project conditions can change. We do not promise that every page is complete, current or suitable for a particular project.

Before relying on material for a procurement, design, safety, compliance or investment decision, obtain project-specific written advice from an appropriately qualified person.

5. Enquiries and information you provide

When submitting an enquiry, you must:

  • provide information that is accurate to the best of your knowledge;
  • have authority to provide any information about another person or organisation;
  • avoid passwords, malicious code, unlawful content and unnecessary sensitive personal information; and
  • avoid attaching or pasting confidential project documents unless we have arranged an appropriate transfer method.

Submitting an enquiry gives us permission to use the information only as reasonably needed to respond, assess the opportunity, manage follow-up and comply with law, as described in our Privacy Policy. It does not transfer ownership of your pre-existing intellectual property to us.

6. Acceptable use

You must not use the website to:

  • break a law or infringe another person’s rights;
  • gain or attempt unauthorised access to a system, account, data or network;
  • introduce malware, probe for vulnerabilities, interfere with operation or evade security controls;
  • impersonate another person or misrepresent an affiliation;
  • send spam or abusive, defamatory, discriminatory or unlawful material;
  • systematically scrape, harvest or extract content or data, except for ordinary search-engine indexing; or
  • use website content to train a commercial model or create a competing content database without written permission, except where law expressly permits the use.

We may restrict or block access where reasonably necessary to protect the website, our systems, another person or our legal rights.

7. Intellectual property

Unless stated otherwise, website content, branding, layouts, graphics, photographs, diagrams and written material are owned by or licensed to Technical Alliance and are protected by intellectual-property law.

You may view, print or save a reasonable extract for your own internal business evaluation, provided you do not remove notices or imply our endorsement. You must not reproduce, publish, modify, sell, license or commercially exploit a substantial part of the website without written permission, except as permitted by law.

You may link to a public page without prior approval if the link is fair, lawful, does not frame the page, does not misrepresent our relationship and does not imply endorsement.

Third-party names and trade marks remain the property of their owners. Their appearance does not necessarily imply sponsorship or endorsement.

8. Third-party websites and services

The website may link to a manufacturer, supplier, standards body, regulator or other third party. Links are provided for convenience and do not mean we control, endorse or accept responsibility for the third party’s content, availability, security or privacy practices.

9. Privacy and security

Our Privacy Policy explains how we handle personal information, server logs, analytics and local browser storage.

Internet communications carry risk. Do not send passwords, sensitive information or confidential project files through the general enquiry form. You are responsible for using appropriate security on your device and network.

10. Availability and changes

We may change, suspend or withdraw any part of the website without notice. We do not guarantee uninterrupted, error-free or malware-free access, although we take reasonable steps to operate and secure the site.

11. TA CONNECT

TA CONNECT support agreements are provided by TA Connect Holdings Pty Ltd (ACN 685 830 433) as trustee for the TA Connect Unit Trust (ABN 14 273 312 761). A TA CONNECT proposal or agreement will identify the contracting entity and applicable terms. Website references to TA CONNECT do not make Technical Alliance the provider of a support agreement unless a written agreement expressly says so.

12. Insurance statements

Any website statement about insurance is a summary only, is current only as at the date stated and is subject to the policy terms, exclusions, sub-limits, deductibles, expiry and insurer acceptance. It does not expand insurance cover or create a guarantee to a website visitor. Current evidence is available on request.

13. Australian Consumer Law and other non-excludable rights

Nothing in these terms excludes, restricts or modifies a guarantee, right, remedy or liability that cannot lawfully be excluded or limited, including under the Australian Consumer Law.

A business customer can be a consumer for some transactions. Project-specific terms must be read subject to any non-excludable statutory rights.

14. Liability for website use

To the maximum extent permitted by law:

  • you use the website and rely on its general information at your own risk;
  • we are not liable for loss caused by a third-party website, your device or network, unauthorised access outside our reasonable control, or reliance on content contrary to section 4; and
  • we are not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill or data arising only from use of, or inability to use, the website.

These limits do not apply to the extent loss is caused by our fraud, wilful misconduct or a liability that cannot lawfully be excluded or limited. Liability for contracted services is governed by the relevant agreement and applicable law, not by this website clause.

15. International access

The website is controlled from Western Australia. Making it accessible in another country is not a representation that we offer services there or that the content complies with that country’s laws. You are responsible for compliance with laws that apply to your access.

16. Changes to these terms

We may update these terms prospectively by publishing a revised version. The terms in force when you use the website apply to that use. A change to website terms does not amend a signed project or support agreement.

17. Governing law

These terms are governed by the laws of Western Australia and the Commonwealth of Australia. Subject to any mandatory law, the courts of Western Australia and Commonwealth courts sitting in Western Australia have exclusive jurisdiction.
